Automotive Cost Sharing Group, INC Terms and Conditions OTMO Membership

The following terms and conditions apply between Automotive Cost Sharing Group INC, a Utah Corporation, providing automotive cost sharing membership (“Otmo”) and the (“member”). Membership is effective upon the date of Automotive Cost Sharing Group INC receipt of Member’s first payment per plan.

  1. This Membership is for the sole benefit of the Member and applies only to Member’s vehicle(s) described in the online application. This Membership will be invalidated if there has been any inaccuracy, alteration, or tampering regarding the vehicle(s) description, mileage, and/or condition described in the online application.

  2. The following vehicle membership plans (“Plans”) are offered by Otmo. Member indicates which membership plan desired, not Otmo. Member may select any and is not limited to a membership recommended for specific vehicles. The Fee collected for each member plan is a gift to the Otmo membership. Gift amounts vary depending on membership. Gifts are not refundable.

    Monthly Plans (Must own one of the following makes that are listed to apply for membership)


    1. _____ Level 1 (recommended for compact or sedan vehicles): Owner pays Otmo $39.99 per month per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo. $79.88 per month per vehicle for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, and Jaguar. If Owner makes a claim, then Owner must meet a $100.00 member responsibility due to the repair facility at the repair facility’s discretion. This $100.00 is to be deducted from the total repair cost. If Owner does not require sharing, then Owner is eligible for 25% cash back* incentive per year. The maximum annual payout that Otmo will make shall not exceed $2,500.00 per membership year.

    2. _____ Level 2 (recommended for sedan, small SUV, or small truck vehicles): Owner pays Otmo $59.99 per month per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo $119.98 per month per vehicle for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, Jaguar. If Owner makes a claim, then Owner must meet a $100.00 member responsibility due to the repair facility at the repair facility’s discretion. This $100.00 is to be deducted from the total repair cost. If Owner does not require sharing, then Owner is eligible for 25% cash back* incentive per year. The maximum annual payout that Otmo will make shall not exceed $5,000.00 per membership year.

    3. _____ Level 3(recommended for diesel, large SUV, or large truck vehicles): Owner pays Otmo $79.99 per month per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo $159.98 per month per vehicle for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, Jaguar. If Owner makes a claim, then Owner must meet a $100.00 member responsibility due to the repair facility at the repair facility’s discretion. This $100.00 is to be deducted from the total repair cost. If Owner does not require sharing, then Owner is eligible for a 25% cash back* incentive per year. The maximum annual payout that Otmo will make shall not exceed $7,500.00 per membership year.

    1. _____ Level 1 (recommended for compact or sedan vehicles): Owner pays Otmo $479.88 per year per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo. $959.76 per year for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, and Jaguar. If Owner makes a claim, then Owner pays repair facility $0.00 member responsibility. If Owner does not require sharing, then Owner is eligible for up to 50% cash back* incentive per year. The maximum annual payout that Otmo will make shall not exceed $2,500.00. Prorated refunds will not apply.

    2. _____ Level 2 (recommended for sedan, small SUV, or small truck vehicles): Owner pays Otmo $719.88 per year per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo. $1439.76 per year per vehicle for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, and Jaguar. If Owner makes a claim, then Owner pays repair facility $0.00 member responsibility. If Owner does not require sharing, then Owner is eligible for up to 50% cash back* incentive per year. The maximum annual payout that Otmo will make shall not exceed $5,000.00. Prorated refunds will not apply.

    3. _____ Level 3 (recommended for diesel, large SUV, or large truck vehicles): Owner pays Otmo $959.88 per year per vehicle for the following makes, Acura, Buick, Cadillac, Chevrolet, Chrysler, Dodge, Ram, Fiat, Ford, GMC, Honda, Hyundai, Infiniti, Isuzu, Jeep, Kia, Lexus, Lincoln, Mazda, Mitsubishi, Mini, Nissan, Scion, Smart, Subaru, Toyota, Volkswagen, Volvo. $1919.76 per year per vehicle for the following makes, Mercedes, Audi, Land Rover, BMW, Porsche, and Jaguar. If Owner makes a claim, then Owner pays repair facility a $0.00 member responsibility. If Owner does not require sharing, then Owner is eligible for up to 50% premiums cash back*. The maximum annual payout that Otmo will make shall not exceed $7,500.00. Prorated refunds will not apply.


    *Cash Back Incentive Terms


    If no cost sharing is requested during membership year, Annual membership plans are eligible for 50% cash back at the end of the membership year. (Membership year is 12 months from initial application date). If Member cancels membership or uses cost sharing assistance, then Member forfeits his or her cash back incentive entirely. Cash back incentive can be applied to renew Otmo membership, or receive a refund. It may take up to 30 days to receive refund.



  3. ***PROCESSING FEE***

    Each new member must pay a processing fee for each vehicle enrolled. The fee is equal to one month of membership per plan, for each vehicle enrolled. The fee is a one-time cost and is non-refundable, nor does it qualify for cash back incentive.


  4. Otmo GAP. The term ‘GAP’ is in reference to the gap between what the member owes and what the member’s vehicle is worth. Otmo Gap should not be confused with guaranteed asset protection. Otmo gap is membership cost sharing, and there is no guarantee or promise to pay. If Member enrolls in GAP membership from Otmo, then Member will so indicate in the online application. If member currently has or is applying for Otmo membership, Gap membership is $10.00 per month and sharing is capped at $5,000.00. If member desires gap membership without breakdown membership then gap membership is $15.00 per month and sharing is capped at $5,000.00. This membership can be canceled at any time. There is no waiting period from sign up. Proof that the incident occurred while under membership, as well as insurance company payout, will be required, and Otmo will only pay directly to the financial institution. Otmo will not reimburse Member.

  5. Regardless of the Plan(s) chosen above, Member will pay Otmo one flat fee per month or year per Plan, and Member will be able to suspend and/or terminate monthly or annual payments to and membership from Otmo at any time. Prorated refunds will not apply.

    4a.4a. Member can always change membership level if downgrading share level without termination of membership or forfeit of benefits. These changes will take effect at the beginning of the new membership cycle, (either monthly or annually.) Member must cancel membership and reapply for higher level of membership if desired. These changes will take effect at the beginning of the new membership cycle, (either monthly or annually.) Member understands that at no time will any membership fees be refunded. If member sells vehicle before the end of a membership cycle, the cash-back incentive is still in effect, after the one year mark IF no shared repairs have been made. Member can replace a vehicle enrolled in Otmo if vehicle falls under the same time and mileage requirements as outlined. Furthermore the new membership is subject to the same application requirements and is subject to the waiting period/miles driven requirement. Transferring membership to a new vehicle does not change the cash-back incentive terms. Member is responsible for notifying Otmo immediately when the change occurs. Submit all transfer requests to support@otmo.com.

  6. Otmo members share in vehicle repair costs when the member is in good standing. Sharing applies to vehicle repairs that are mechanical and/or electrical breakdowns or failures except for the following:
    1. General maintenance, including oil changes, fluid flushes, tire changes, brake pad changes, belts, hoses, spark plugs, filters, wipers.
    2. Any damage from any impact
    3. Paint
    4. Glass, except when required to perform a covered repair
    5. Body panels, frames, any component that is considered body and not mechanical
    6. Electrical components or upholstery that are damaged due to glass leaks
    7. Any repairs that are needed from the act of vandalism
    8. Member lack of maintenance or neglect, (to be determined by 3rd party inspection)
    9. Pre-existing Conditions, (concerns that existed before membership or that occurred within the 90day waiting period. 3rd party inspection may be needed).
    10. Any part that is listed for coverage through manufacturer or any other extended service contract.
    11. Any part or item that serves as cosmetic or is for appearance only.

  7. What is a breakdown/failure? How do I know if I am eligible for Sharing?


    Otmo members assist in electrical or mechanical failures. A Breakdown is when a part or series of parts stops functioning and has resulted in the limited or complete loss of use of the vehicle. A Failure is when a part no longer is performing its function as intended. A failure may or may not result in a breakdown. For example, the left front window may stop rolling up or down. This is a failure that did not result in a breakdown. The following are examples that are not considered a failure (This is not a complete list)

    1. Bushings, joints, bearings, or other mechanisms that exhibit noise over bumps, in turns, in cold temps, in hot temps or any other unique situation, but that are tight and show no signs of a safety issue are NOT eligible for sharing.
    2. Electrical components such as window motors, sunroof motors, sliding door motors or mechanisms may exhibit noise or begin to work slower. This is of course taken on a case by case basis, but not always considered a failure.
    3. Engines, Transmissions, Transfer Cases, Differentials may overtime exhibit noise, seeping, or looseness. This is taken on a case by case basis and is not always considered a failure.
    4. Fluids, gaskets, seals will over time begin to seep. This is normal and does not always require attention. Leaks are taken on a case by case basis.

    Otmo membership is NOT a warranty or insurance. Therefore, Parts on the member’s car are not listed for coverage as a traditional warranty or extended coverage may provide. Instead, Otmo uses the following guidelines to determine if sharing is appropriate.

    1. Is the member current with membership dues?
    2. Has the member reached the capped limit for the member year?
    3. Has the member gone 90 days from application AND driven 1000 miles?
    4. Has the member submitted the self-inspection video and has the application been approved?
    5. Are the repairs considered and breakdown/failure?
    6. Has the member/repair facility received written or verbal approval from Otmo? (Authorization must be received before repairs are completed.)

    Any share request regarding mirror repairs will require digital imaging and will be declined if any damage to the mirror(s) is discovered.

    Towing is shareable only if the repair facility is able to itemize it on the repair order. Otmo will pay only repair facilities, not any tow company or any other company.

    If any part of Member’s vehicle requires sublet repairs, then those repairs will be shared if and only if the repair facility is able to itemize those repairs in one (1) total repair order. Sublet repairs will not be paid separately or directly.

  8. Member agrees to have his or her vehicle checked, serviced, and maintained in accordance with the vehicle manufacturer’s recommendations, as outlined in the member’s manual for Member’s vehicle. Otmo will not share in any costs accrued for routine maintenance and is to be assumed by the Member

  9. Member is responsible for choosing a repair facility that 1) accepts the member terms offered by Otmo 2) has proper access to Otmo website, which is www.otmo.com, and 3) is able to submit sharing requests using that website. CUSTOMERS WHO CHOOSE TO PERFORM REPAIRS DO SO AT THEIR OWN EXPENSE, OTMO WILL NOT SHARE COSTS FOR REPAIRS MADE BY THE CUSTOMER. A LICENSED REPAIR FACILITY MUST BE USED. Otmo must approve sharing for the desired repairs prior to any repair work being done. Repairs made to the vehicle without the express, written approval from Otmo will be paid in full by Member. The repair facility can contact Otmo through the website, www.otmo.com, for approval, or call 801-701-7127 option #2, or email support@otmo.com

    Emergency Repairs. Should an emergency occur that requires repair of a breakdown to be made at a time when Otmo’s office is closed, members must wait to request sharing for the repair costs or choose to pay on their own. Otmo will not reimburse members for these costs. Otmo strongly recommends that members wait for authorization before repairs are made. Emergency repairs will NOT be shareable.   10. Members are free to choose any licensed repair facility. Otmo staff will, at the permission of the member, work with the repair facility to determine the correct course of action with regards to repairs. Otmo will pay a maximum labor rate of $150.00 per hour, (Rate to be consistent with local rate averages). Otmo has the right to determine the local average labor rate and adjust accordingly. Otmo may also negotiate labor rates, flat rate times, parts pricing on a case by case basis. Labor time standards are to be used in each repair as applicable (alldata or michell). After a repair order is received, Otmo will directly pay the repair facility at which the repairs to Member’s vehicle were performed. Otmo reserves the right to hold any repair facility accountable for misdiagnosis, (any repair performed that did not resolve the customer concern). Member acknowledges that the repair facility may or may not resolve the concern at the repair facilities expense. Otmo will take cases of misdiagnosis on a case by case basis. Otmo should never be expected to exceed the capped amount selected.

  11. Otmo members will not share any repairs relating to neglect or abuse, and Otmo reserves the right to request digital images and/or video footage in order to gather information regarding the member share request, or technician findings before determining sharing eligibility. Otmo may require a third-party inspector in any situation that Otmo desires in order to determine repair sharing eligibility.

  12. Member must wait at least ninety (90) days and must have driven at least one thousand (1,000) miles on his or her vehicle, one hundred (100) for motorcycle before member is eligible for sharing. The mileage will be determined from the inspection video, NOT from the application.

    10a. Pre-existing conditions. By agreeing to these terms and conditions, Member acknowledges that to the best of His/Her knowledge, there are no know issues, defects, trouble codes, leaks, or any other condition that has not been disclosed to Otmo. Furthermore, Otmo has the right to make a determination, using a third party inspection, to whether or not a condition was pre-existing and not disclosed during the application process. These share requests can be denied by Otmo. Any breakdown or failure that occurs within the 90 day waiting period or before 1000 miles, (100 miles for motorcycle), are driven, are NOT shareable. These share requests can be denied by Otmo.

    10b. Member must submit an application for membership. This includes a self-inspection video. If any concerns are noted in the video, Otmo can do one of two things. First, it is possible that the application will be declined in whole. Second, Otmo may grant membership on the basis that these items be repaired by a competent repair facility. Otmo may still issue a membership, however the pre-existing condition will be excluded from sharing until the Member submits proper verification that repairs have been completed. (Example: If it is noted that the airbag light is on in the video, Otmo may offer membership that excludes ANY restraints repair sharing entirely. This is until the Member can prove that the items were repaired by a competent repair facility.) Member does not have to agree to the second option, and is free to decline this offer.

  13. Those seeking membership must own a car, motorcycle, or truck that is less than ten (10) years by the date of online application. If the vehicle then ages over ten years during membership, then Member still maintains membership as long as his or her membership is current. If Member makes payments late, or if Member cancels his or her membership, then this benefit will be forfeited.

  14. Those seeking membership must own a car, motorcycle, or truck that has less than 150,000 miles by the date of online application. If the vehicle exceeds 150,000 miles during membership, then Member still maintains membership as long as his or her membership is current. If Member makes payments late, or if Member cancels his or her membership, then this benefit will be forfeited.

  15. Member’s payments are due by 11:59 p.m. of the due date. Automatic payments are required by using either a credit card or debit card. If payment is not received, the vehicle repair sharing eligibility is immediately suspended, and Member has five (5) days to remedy the issue. If no payment is received by the start of the sixth day, then a $75.00 reinstatement fee will be applied to the account and will be required in addition to the member fee due. If the account is not current after a total of nineteen (19) days from the missed payment, then membership is lost and any benefit is forfeited. Otmo will make every attempt to notify Member of the late payments; however, the payment is solely Member’s responsibility to ensure that it arrives on time.

  16. If membership is lost due to lack of payment, Member is eligible to reapply for membership and must meet the same original requirements to be approved. All benefits, discounts, or cash-back amounts are lost and are eligible for accrual or reapplication.

  17. Otmo reserves the right to cancel membership without notice to the member for any of the following reasons,
    • Otmo suspects Member purposefully mislead Otmo during self-inspection process.
    • Otmo suspects that Member attempted to hide any breakdown or failure that may have occurred during the 90 day waiting period with the intent of claiming the breakdown occurred after the 90 day waiting period was satisfied.
    • Member becomes unreasonable and or threatens legal action toward Otmo.
    • Otmo determines that a certain make or model is no longer accepted for sharing.
      If membership is cancelled, Otmo may or may not return member fees collected. If member has received any sharing for repairs or gap, NO refund will be issued. If member has not received and sharing assistance, Otmo may elect to return member fees collected. Returned fees may apply ONLY if the annual membership is cancelled, by Otmo, before the anniversary date. If Member cancels membership for any other reason, then Member is eligible to reapply for new membership according to member terms as outlined.

  18. All fees, deadlines, and other rules may be altered in the favor of Member only at the discretion of Otmo staff.

  19. Member understands that by joining this membership, he or she acknowledges and understands that Otmo is not an insurance company cannot be held responsible for unpaid repairs. Otmo is a cost sharing membership member fees are used to pay for member repairs. These terms are NOT a promise or guarantee to pay.

  20. Otmo membership is NOT subject to limited regulation by the Utah Insurance Department. Member recognizes that Utah code 31A 6A sections 103 and 104 do not apply to this membership. Furthermore, membership is not insured by a Contractual Liability Insurance Policy (“CLIP”). Membership in this program is completely voluntary and is to be viewed by the member as a member cost sharing group. Automotive Cost Sharing Group INC, is not bound to pay for “covered items” as in a traditional warranty contract. Rather, Otmo cost sharing memberships are offered in good faith and Otmo uses funds collected to pay for member repair costs or to assist in paying down the loan amount owed by a member if the members insurance company declares the members vehicle as a total loss. Automotive Cost Sharing Group INC is a for profit business.

  21. Cost Sharing membership as outlined in these terms is not guaranteed by the Property and Casualty Guaranty Association.

  22. Purchase of this membership is optional and is not required in order to finance, lease, or purchase a motor vehicle.

  23. MISCELLANEOUS PROVISIONS
    1. Indemnification and Waiver. Member agrees to defend, indemnify and hold Otmo harmless with respect to claims, liens, suits, losses, or liability arising out of Otmo’s acts or omissions, including attorney fees and litigation expense.

    2. Term. This membership will continue on a monthly or annual basis from the application date and will automatically renew at one-year intervals or monthly intervals unless and until either party cancels the membership. Otmo makes no promise as to length of membership in this program. Terms are subject to change at any time. Being an annual member does NOT imply a one year contract; rather, this is to be viewed as a monthly membership paid in advance.

    3. Payment. Otmo will auto debit/charge Member for membership at the above-listed rate. Member will pay Otmo on or before the due date in order to avoid loss of membership. Otmo governing body can at ANY time notify the members of this group of cost increases and therefore raise the member fee based on members vehicle, or as an entire group. ANY member that wishes may leave the group at ANY time and is not required to pay increased member fees.

    4. Governing Law. Automotive Cost Sharing Group INC is a cost sharing membership based in the State of Utah.

    5. Member Fees. It is to be understood by all members that the member fees collected by Automotive Cost Sharing Group INC, (Otmo), are to be considered gifts to the general membership. Members should never expect a guarantee of service or refund. ALL GIFTS ARE FINAL.
